These Website Terms and Conditions (the “Terms”) govern your access to and use of the website located at controlsamerica.com and any related pages, content, and features (collectively, the “Site”) operated by Control Systems America, Inc. (“CSA,” “we,” “us,” or “our”). Please read these Terms carefully. By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not access or use the Site.

1. Acceptance of These Terms

We reserve all rights not expressly granted.

attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, the servers on which it is hosted, or any connected systems or networks;

You may view and print pages from the Site for your own internal reference, provided you do not remove any copyright or proprietary notices.

“Control Systems America,” the CSA logo, and other CSA names, marks, and slogans are trademarks of Control Systems America, Inc. You may not use these marks without our prior written permission. All other names, logos, product and service names, trademarks, and service marks appearing on the Site are the property of their respective owners, and their appearance on the Site does not imply any affiliation with or endorsement by CSA.

8. Product Information, Pricing, and Availability

The Site may describe products, equipment, and services that CSA distributes or provides. All descriptions, specifications, images, pricing, and availability shown on the Site are for general informational purposes only, are subject to change without notice, and do not constitute an offer to sell. We make reasonable efforts to present accurate information, but we do not warrant that product descriptions, specifications, pricing, or other Content are complete, current, or error free. Any purchase of products or services from CSA is governed by CSA’s separate Terms and Conditions of Sale and any applicable written agreement or quotation, which control over any information presented on the Site.

CSA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CSA OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF CSA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CSA’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless CSA and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your violation of these Terms or your misuse of the Site.

15. Governing Law and Venue

These Terms and any dispute arising out of or relating to the Site are governed by the laws of the State of Washington, without regard to its conflict of law principles. You agree that any legal action or proceeding relating to the Site or these Terms shall be brought exclusively in the state or federal courts located in Clark County, Washington, and you consent to the personal jurisdiction of and venue in those courts.

16. Termination

We reserve the right, in our sole discretion, to restrict, suspend, or terminate your access to all or part of the Site at any time, with or without notice, for any reason, including any violation of these Terms. The provisions of these Terms that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.

17. General

These Terms, together with the Privacy Policy and any agreements expressly referenced, constitute the entire agreement between you and CSA regarding the Site and supersede any prior understandings. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent, and any attempt to do so is void. We may assign these Terms without restriction.
